Apple Inc. Plans $12 Billion Bond Offering (AAPL)

The Cupertino-based consumer electronics juggernaut, Apple Inc. (AAPL), announced on Tuesday that it would be marketing a $12 billion bond sale in an effort to keep its overseas cash pile sheltered from the tax man at home.

According to Bloomberg, the company plans to offer a variety of debt notes to prospective bond investors, including: floating and fixed-rate notes with maturities of three and five years, as well as fixed-rate notes with maturities of seven, 10, and 30 years. This massive bond offering comes at a time when many have been scrutinizing Apple for its mind-boggling cash pile overseas, totaling over $132 billion. According to sources, Deutsche Bank (DB) and Goldman Sachs (GS) will be leading the leading the bond offering and a person familiar with the matter also noted that part of the proceeds would be used for distribution payments in light of Apple’s recent dividend increase announcement.

Given that borrowing costs in the bond market are much lower than the taxes that would be levied on Apple if it were to bring home some of its cash from overseas, the debt offering seems like a “no-brainer” for the company; Apple’s chief financial officer, Luca Maestri, elaborated, "To repatriate our foreign cash under current U.S. tax law, we would incur significant tax consequences and we don't believe this would be in the best interest of our shareholders," [see What Can You Buy With Apple's Cash?].

AAPL shares were down $1.76, or 0.30%, as the closing bell rang on Tuesday.

Dollar gets boost vs. yen from housing data, yields

NEW YORK (MarketWatch) — The dollar rose against the Japanese yen on Monday after U.S. housing data suggested the pace of existing-home sales may pick up, relieving some pressure on the Federal Reserve to keep interest rates near zero.

A gauge of U.S. pending home sales rose 3.4% in March, marking the first increase in nine months, the National Association of Realtors said Monday. U.S. data will culminate on Friday with the employment report for March.

The dollar (USDJPY)  rose to ¥102.46 from ¥102.14 late Friday, in line with an increase in U.S. Treasury yields on Monday. The Bank of Japan is scheduled to meet Wednesday. While it's unlikely that the BOJ will implement further monetary easing so soon after the April 1 consumption-tax increase, any remarks hinting at further action are likely to attract attention, said Dean Popplewell, director of currency analysis and research at OANDA.

The ICE dollar index (DXY) , which pits the greenback against six rivals, fell to 79.695 from 79.763 late Friday. The WSJ Dollar Index (XX:BUXX) , which measures the dollar against a wider basket of rivals, was at 73.04 versus 73.05.

Movement in the currencies market has been limited as investors have been grappling for clues on possible central-bank action across the globe. In the U.S. and U.K., that includes hints on the timing of the first rate hike. In Japan and the euro zone, that amounts to the likelihood of further easing in the near future.

The U.S. Federal Open Market Committee is scheduled to begin a two-day meeting on Tuesday. "Any statement that will convince investors that the Fed intends to keep rates lower for longer should cap the dollar's strength," said Popplewell.

The euro (EURUSD)  rose to $1.3851 from $1.3836 late Friday. Christian Noyer, a member of the European Central Bank's governing council, said Monday the euro's strength is weighing on prices, matching comments from several ECB officials. German inflation data is due Tuesday, which could be used as an indicator for the euro-zone inflation data due Wednesday, said Robert Lynch, a currency strategist at HSBC. "It's important to the extent that low inflation has been very much on the ECB's radar," he said.

Still, don't a lasting reaction in the euro exchange rate until there is concrete monetary-policy action, he said. "You've had softer data in some instances, you've had ECB comments talking about the possibility of easing. These developments haven't put sustained downward pressure on the euro," he said.

The British pound (GBPUSD)  was little changed at $1.6809 versus $1.6804 late Friday. Investors will be on the watch for the first read on first-quarter gross domestic product in the U.K., which is likely to show a continuation of improving growth in the country, said Lynch.

The Australian dollar (AUDUSD)  inched down to 92.59 U.S. cents from 92.69 U.S. cents late Friday.

Google Will Be Better Off Minus Google+

Google+ as we know it appears to be finished. Vic Gundotra, the executive in charge, is leaving the company, and TechCrunch says big changes are afoot. The three-year-old social network is being redefined — demoted? — from a product to a platform, and Google Google will stop trying to infuse it into all its other products and services.

This is great news. It's great for consumers, who shouldn't have to sign up for a service they never asked for just to be able to use the ones they actually care about. It's great for those of us who depend on Google search for traffic or new business, and for whom maintaining a G+ profile that satisfied Google's ever more demanding specifications was an unwanted burden.

And, ultimately, once the sting of embarrassment fades, it will be great for Google. The failure of Google+ wasn't just a matter of botched execution; it was a result of misguided strategic thinking. Plus has been mostly a cul-de-sac for Google, and it will be better off for having emerged from it. Here's why.

1. Google's attempts to push Plus on users were a standing invitation for antitrust lawsuits. Forcing consumers to accept a product they don't want in order to get access to one they do want is called tying, and under some circumstances it's illegal. It's debatable whether Google's heavy-handed integrations of Plus crossed that line; the Federal Trade Commission looked into the matter but didn't take action. Still, Google finds itself in front of antitrust regulators often enough as it is without waving a big red cape in front of their noses.

2. There was no need to force Plus on users in the first place. The argument for it was Plus would make users of every Google product and service immensely more valuable to advertisers by allowing the company to track and profile them across the entire suite, and to follow them to every page with a "+1″ button on it. But why do you need a whole new social network for that? Rather than forge Google+ as the One Ring To Rule Them All, why not just do it with Gmail, which has more than 500 million users it acquired organically, not through coercion? (Indeed, Recode reports the sign-in component of Plus may become its own separate product.)

There was also the argument that Google search would suffer if it didn't have access to users' social graphs as a data set. But even Facebook has yet to figure out how to turn social data into a worthwhile search product.

3. Building a bunch of independent products is a better approach than building one uber-product with a ton of different features. That's what Facebook has concluded lately, anyway. After years of trying to do everything under the same umbrella, Mark Zuckerberg is now focused on "unbundling" Facebook's offerings into a number of " single-purpose, first-class experiences," like Messenger, Paper, Instagram and WhatsApp.

Not only does the unbundled approach lower the threshold for potential new users to sign up, it just results in better products on their own terms. That's what former Google+ team member Danny Crichton took away from the experience of working there:

One of the key lessons I learned from the experience that I have drilled into every founder I have worked with is that focus is absolutely everything. As soon as you have two goals, even one that is minor, you start heading toward the center of the convex set of solutions, and your product deeply suffers.

Diamond Offshore Drilling: Good News for One, Good News for All

Diamond Offshore Drilling (DO) hit black gold with its earnings release today–and gave the beaten-down sector a boost, as Transocean (RIG), Seadrill (SDRL) and Noble Corp. (NE) all posted big gains.

Heading into today, it had been a tough, tough year for the offshore drillers as investors bet that the market for rigs would be weak. Transocean had lost 15% including reinvested dividends, while Noble Corp. had dropped 16%, Diamond Offshore had declined 13% and Seadrill, which one analyst had described as being in a bit of a pickle, had fallen 17%.

The came Diamond Offshore’s earnings. It reported a profit of 93 cents a share, beating analyst forecasts for 65 cents. Cowen’s J.B. Lowe explains how Diamond Offshore managed to beat expectations:

Contract drilling expenses were the main driver of earnings outperformance compared to our estimates; opex of $370 million was well below our $412 million estimate and guidance of $405-$425 million for the quarter. Diamond managed to record better-than-expected cost containment results across all segments of the floater market; in particular, deepwater expenses outperformed, at $72 million versus our $90 million forecast.

To top it off, Diamond Offshore also announced that it would pay a special cash dividend of 75 cents a share and some new short-term contracts for some of its drill fleet.  “We believe the beat combined with a slightly positive fleet status report and the announcement that the company has actively been repurchasing shares should result in shares trading higher,” Wunderlich Securities analyst Todd Scholl said in a report released before the open.

Trading higher might be an understatement. Shares of Diamond Offshore have gained 9.2% to $53 at 1:50 p.m. today–and cut its year-to-date price drop to just 6.9%. Diamond Offshore’s earnings also boosted the shares of Transocean, which has risen 4.3% to $43.21, Seadrill, which has advanced 3.5% to $34.15 and Noble Corp., which is up 2.7% at $31.79.

That’s what happens when an unloved sector finally gets some good news.

AT&T now getting more growth from mobile than…

SAN FRANCISCO -- The handheld vision Steve Jobs sold to AT&T in 2007 has come to pass.

The problem for Apple investors is that the booming market the company created with the iPhone seven years ago – and then boosted with the iPad three years later -- is now producing more growth for the wireless phone giant than it is for Apple itself.

AT&T reported Tuesday its strongest growth in long-term wireless subscribers in five years, "with smartphones and tablets leading the way," as AT&T Chief Financial Officer John Stephens told analysts and investors on a conference call to discuss first-quarter results.

Just as important, a surging number of AT&T customers are switching to so-called usage-based pricing – paying based on how much wireless data they download from the Web -- rather than paying for the devices up front with the help of subsidies.

While the transition is putting a short-term hit on AT&T's balance sheet (as it has to write down the full price of such device sales immediately), the popularity of those plans also helped generate the company's strongest cash flow from operations in seven years.

"The move away from device subsidies accelerated in Q1," Stephens said, as the number of new and existing customers choosing so-called mobile share data plans tripled from a year earlier.

The Dallas-based company said that drove wireless revenue up 7% from a year earlier to $18 billion, also the strongest growth in years.

That year-over-year growth rate is now higher, in fact, than what Wall Street is expecting from Apple both for its most-recent quarter and for the company's full fiscal year.

Apple, which will report fiscal second-quarter results after the close of markets Wednesday, is expected to post flat sales for the period of $45.3 billion.

For the year ending in September, analysts expect Apple sales to rise 5.2%, to $180 billion.

That's down from 9.2% growth a year earlier, as iPhones and iPads face increasing price p! ressure from Android-powered devices made by Samsung Electronics and others.

Apple's growth is slowing even as "the smartphone (has become) the remote control of our lives," as Stephens said late Tuesday.

That sounds like the vision Jobs pitched to AT&T in late 2006 and early 2007, when he convinced the company to become the first U.S. wireless operator to sell and support the original iPhone.

Jobs also convinced AT&T (and later Verizon and others) to contribute massive subsidies to offset the high cost of the device, so more wireless consumers could afford such an advanced product.

Without those subsidies, which were as high as $400, the first iPhone would have been a niche device in terms of market share: awesome in power but out of the reach of the majority of phone buyers.

The only way for wireless carriers to make money from such an arrangement was if consumers started using their devices a lot more and agreed to pay for them based on a usage model -- rather than signing up for subsidized, unlimited data plans.

The handheld market Jobs foresaw is now here: a category of high-priced devices that consumers use for ever-more minutes every day, to download ever-greater amounts of text, photo and video files from the Internet.

Half of AT&T mobile shared accounts are now on plans of 10-gigabytes-per-month or higher, Stephens said Tuesday.

"The transition of our customer base can clearly be seen this quarter," he said, adding that the shift away from subsidized data plans to shared data plans "will have a positive long-term impact" on AT&T's business.

Whether the shift will produce the same benefits for Apple in the future remains to be seen.

Decoding Preferred Shares Mystery

Investors looking for a source of stable dividends should consider preferred shares, says John Heinzl, of the Globe and Mail. He dissects the pros and cons of them as a whole, and offers a few possibilities for you to consider.

What do you think of preferred shares? Is this a good time to buy them?

Preferred shares stake out the middle ground in a company's capital structure, ranking ahead of common shares but behind bonds. This has advantages and disadvantages for the investor.

On the plus side, if a company needs cash, it will cut common dividends before it touches preferred dividends. If the company goes bust, preferred shareholders are second in line to bondholders for any assets of the business.

Another advantage of preferred shares is that their dividends qualify for the dividend tax credit, making them suitable for taxable accounts. And because preferreds generally pay a fixed dividend, they are less volatile than common shares.

On the down side, because preferreds are only entitled to a fixed portion of the profits, they offer less capital appreciation potential than common shares. Preferreds also come in various flavors—perpetual, retractable, rate-reset and floating rate—that may be confusing to some retail investors. Finally, because of their bond-like characteristics, preferred shares tend to be sensitive to interest rates.

Keeping those risks in mind, devoting a portion of your fixed-income allocation to preferred shares can provide a steady source of tax-efficient cash flow. And because preferred shares have taken a hit recently with the uptick in interest rates, yields are higher now than they were just a few months ago.

Since April 1, the iShares S&P/TSX Canadian Preferred Share Index Fund (CPD) has dropped about 6.6%, excluding dividends. The fund is now yielding about 4.5%, up from 4.2% on April 1.

If you're uncomfortable picking individual preferred shares, a diversified exchange-traded fund, such as CPD can be a good option. The fund, which has about $1.4-billion under management, holds more than 200 preferred shares, with banks and insurance companies accounting for more than half of the assets. The fund has a management expense ratio (MER) of 0.5%.

Portfolio managers say it's important not to go overboard with preferreds.

"We use them as one piece of the puzzle," said Adrian Mastracci, president and portfolio manager with KCM Wealth Management in Vancouver. He uses CPD and other preferred ETFs in client portfolios, but limits preferreds to about one-quarter of the client's fixed-income exposure.

Despite their defensive characteristics, preferred shares won't necessarily save you in the event of another financial crisis. During the credit meltdown in 2007-08, CPD plunged more than 30% from peak to trough. The fund did, however, continue paying dividends, and the units eventually rebounded, though not to pre-crisis levels.

Another option is the Horizons Active Preferred Share ETF (HPR), which—as the name suggests—is run by a manager who actively buys and sells preferred shares, as opposed to passively tracking an index as CPD does. HPR's unit price has also dropped with the recent jump in interest rates. Its yield of 4.3% and MER of 0.58% are similar to CPD's.

Bank of Montreal has also thrown its hat into the preferred share ring with the BMO S&P/TSX Laddered Preferred Share Index ETF (ZPR). Launched last year, ZPR yields about 4.5% and has an MER of 0.49%.

Whether you go with individual preferred shares or choose an ETF such as CPD, HPR, or ZPR, it's important to remember that preferred shares are not going to deliver the sort of long-term gains you can expect from common shares of growing, profitable businesses.

What they will give you is a source of stable dividends that are taxed more favorably than the income from bonds or guaranteed investment certificates.

Why the Dow Is Higher Today

Blue-chip stocks are headed higher this afternoon on the heels of Friday's better-than-expected jobs report and in anticipation of second-quarter earnings season. As of 2:35 p.m. EDT, the Dow Jones Industrial Average (DJINDICES: ^DJI  ) is up by 89 points, or 0.59%.

It's safe to say that last week ended on a high note. The Department of Labor released data showing that a total of 195,000 jobs were created in June. This soundly beat the consensus forecast, which called for a gain of 155,000 jobs, and it was the third-best June jobs report in the last 15 years.

As my colleague Morgan Housel noted at the time, "Bad news for the end-of-the-world crowd: June's jobs report was released Friday, and it was pretty good."

But while this was unquestionably good news for the economy, it wreaked havoc in the bond market. Yields on the benchmark 10-year Treasury bond shot above 2.7% -- the highest rate in nearly two years. And there was a veritable slaughter in the mortgage market, with the interest rate on a conventional 30-year fixed-rate mortgage beginning to approach the 5% level.

In terms of stocks, we've seen the brunt of this "re-pricing" hit mortgage REITs, which hold portfolios of mortgage-backed securities, the values of which move inversely to long-term interest rates. Since May 22 -- that is, the day the Federal Reserve triggered the flight from bonds by intimating that it'll begin to reduce its support for the economy -- shares of Annaly Capital Management (NYSE: NLY  ) and American Capital Agency (NASDAQ: AGNC  ) , the two largest players in this space, have plummeted by 20.7% and 40.2%, respectively.

That being said, for at least the next few weeks, analysts' focus will be on second-quarter earnings season, which unofficially kicks off today when Alcoa (NYSE: AA  ) reports its results after the closing bell. Analysts expect the aluminum giant to earn $0.06 per share, roughly in line with the same quarter of last year, on $5.86 billion in revenue -- a 1.7% year-over-year decline.

While Alcoa has long been considered an economic bellwether, and its earnings are assumed to "set the tone" for earnings season, there's less and less reason to believe that this still holds true. According to The Wall Street Journal: "The company is still economically significant and is the first Dow component to report. The vagaries of the aluminum market mean, though, that it isn't the industrial bellwether of yore." Thus, per the story's lede, "It is not only cliche that [Alcoa] 'sets the tone' for earnings season -- it is also no longer really true."

In terms of Dow stocks, the biggest mover today is Intel (NASDAQ: INTC  ) , down 3.9% after investment bank Evercore Partners downgraded the chip maker's stock from "equal weight" to "underweight." An analyst at the firm cut his price target on Intel from $22 per share to $20 a share based on his opinion that tablets are cannibalizing PC sales -- Intel's bread and butter -- and reducing demand from emerging markets.

Microsoft Pretends to Be Sad

After Zynga (NASDAQ: ZNGA  ) announced that it was getting a new CEO by taking Don Mattrick from Microsoft's (NASDAQ: MSFT  ) gaming business yesterday, I guess Microsoft had to put on a sad face. "Oh no," it cried. "The guy who helped us launch the Xbox One is going to a sort-of rival."

What no one brings up is that there are two scenarios that Mattrick could have left under. Either he knew he was leaving when the new Xbox was rolled out, or he thought he was staying. If he knew, then his lackluster attitude toward the new product makes a certain kind of sense, but it also makes him a liability. From the outside looking in, the options for Mattrick weren't great.

Moving along
Mattrick's launch of the Xbox One was greeted with limited enthusiasm. Gamers were happy to see a new system, but many questioned the requirement for an Internet connection, the rigid new digital rights management rules, and the $499 price tag. Then, during June's E3 video game conference, Sony (NYSE: SNE  ) unveiled its PlayStation 4, and the world went mad.

The revolution that the Sony announcement sparked was based on... no evolution. Used games will work like they currently do. Internet requirements, the same. As an added insult, the PS4 will cost $100 less than the Xbox One. By not changing anything, Sony put Microsoft on the defensive.

Mattrick was the face of the Xbox while the controversy swirled, and he didn't make all the right moves. For instance, when asked what gamers without reliable Internet connections should do, since the Xbox One needed gamers to check-in online once every 24 hours, Mattrick said, "Fortunately we have a product for people who aren't able to get some form of connectivity. It's called the Xbox 360." I don't want to vilify Mattrick, but "keep what you've got and be happy" was the wrong answer. It seems that Microsoft may have agreed, given that it pulled a dramatic 180 soon after E3.

The Zynga position comes with a significant title, as Mattrick will be CEO of the whole company instead of just one portion, like he was at Microsoft. That increased responsibility doesn't actually come with a bigger job. Zynga pulled in $263.6 million last quarter, while the entertainment and devices division that Mattrick is leaving generated $2.5 billion.

Who wins?
Even if it's not great for Mattrick's ego, he's the biggest winner overall. The Xbox bungling was made out to be bigger than it was by hardcore gamers and gaming media. The combination put Mattrick in a difficult PR position if he were to stay at Microsoft. By moving to Zynga, he can put that episode behind him.

Microsoft is no worse off. There are plenty of internal and external candidates for the role, and the evolving nature of the Xbox One means that even a new hire could make some real differences. I imagine that role will be filled in the next month, or possibly left vacant until after the launch.

While Zynga certainly doesn't lose in this scenario, it's clearly not the winner. The CEO position could have gone to someone who had a history of making real game-changing decisions. Mattrick is well-qualified, but that seems to be it. I can't imagine him being more than a manager -- but Zynga really needs a leader.

Hot Gas Companies To Own For 2015

In the U.S., when the topic of clean energy comes up, we like to debate concepts like climate change or global warming, turning it into a political debate more than a strategic one. Subsidies to industries such as wind or solar, no matter how small, take criticism from politicians and the media while the government continues to subsidizes oil, gas, coal, and nuclear production to the tune of billions of dollars each year. We neglect to account for externalities such as the cost of war ships keeping the Suez Canal open when Iran threatens to close it, oil spills inland and offshore, the wars in Iraq, and the limited liability given to the operators' nuclear plants. If Fukishima happened here, it would be no problem for U.S. companies -- Uncle Sam would pick up the tab.

In China, the energy debate is very different. When China sees its imports of coal rising and dependence on foreign oil growing, it springs into action. Not by screaming, "Drill, baby, drill," but by investing billions of dollars in home-grown energy sources. Yes, I'm talking about clean, renewable energy, and China's investment in these energy sources make U.S. subsidies look like the half-hearted effort they are.

Hot Gas Companies To Own For 2015: MPLX LP (MPLX)

MPLX LP, incorporated on March 27, 2012, is a fee-based limited partnership formed by Marathon Petroleum Corporation to own, operate, develop and acquire crude oil, refined product and other hydrocarbon-based product pipelines and other midstream assets. The Company�� assets consist of a 51% indirect interest in a network of common carrier crude oil and product pipeline systems and associated storage assets in the Midwest and Gulf Coast regions of the United States.

The Company generates revenue by charging tariffs for transporting crude oil, refined products and other hydrocarbon-based products through its pipelines and at its barge dock and fees for storing crude oil and products at its storage facilities. The Company is also the operator of additional crude oil and product pipelines owned by Marathon Petroleum Corporation and its subsidiaries (MPC) and third parties, for which it is paid operating fees.

The Company�� assets consist of a 51% partner interest in Pipe Line Holdings, an entity which owns a 100.0% interest in Marathon Pipe Line LLC (MPL) and Ohio River Pipe Line LLC (ORPL), which in turn own: a network of pipeline systems, which includes approximately 962 miles of common carrier crude oil pipelines and approximately 1,819 miles of common carrier product pipelines extending across nine states. This network includes approximately 153 miles of common carrier crude oil and product pipelines, which it operates under long-term leases with third parties; a barge dock located on the Mississippi River near Wood River, Illinois, and crude oil and product tank farms located in Patoka, Wood River and Martinsville, Illinois and Lebanon, Indiana; and a 100.0% interest in a butane cavern located in Neal, West Virginia, which serves MPC�� Catlettsburg, Kentucky refinery.

Crude Oil Pipeline Systems

The Company�� crude oil pipeline systems and related assets are positioned to support crude oil supply options for MPC�� Midwest refineries, whic! h receive imported and domestic crude oil through a range of sources. Imported and domestic crude oil is transported to supply hubs in Wood River and Patoka, Illinois from a range of regions, including Cushing, Oklahoma on the Ozark pipeline system; Western Canada, Wyoming and North Dakota on the Keystone, Platte, Mustang and Enbridge pipeline systems, and the Gulf Coast on the Capline crude oil pipeline system.

The Company�� Patoka to Lima crude system is comprised of approximately 76 miles of 20-inch pipeline extending from Patoka, Illinois to Martinsville, Illinois, and approximately 226 miles of 22-inch pipeline extending from Martinsville to Lima, Ohio. This system also includes associated breakout tankage. Crude oil delivered on this system to MPC�� tank farm in Lima can then be shipped to MPC�� Canton, Ohio refinery through MPC�� Lima to Canton pipeline, to MPC�� Detroit refinery through MPC�� undivided joint interest portion of the Maumee pipeline, and its Samaria to Detroit pipeline, or to other third-party refineries owned by BP, Husky Energy, and PBF Energy in Lima and Toledo, Ohio.

The Company�� Catlettsburg and Robinson crude system is consisted of the pipelines: Patoka to Robinson and Patoka to Catlettsburg. Its Patoka to Robinson pipeline consists of approximately 78 miles of 20-inch pipeline, which delivers crude oil from Patoka, Illinois to MPC�� Robinson, Illinois refinery. Its Patoka to Catlettsburg pipeline consists of approximately 140 miles of 20-inch pipeline extending from Patoka, Illinois to Owensboro, Kentucky, and approximately 266 miles of 24-inch pipeline extending from Owensboro to MPC�� Catlettsburg, Kentucky refinery. Crude oil can enter this pipeline at Patoka, and into the Owensboro to Catlettsburg portion of the pipelines at Lebanon Junction, Kentucky, from the third-party Mid-Valley system.

The Company�� Detroit crude system is consisted of Samaria to Detroit and Romulus to Detroit. Its Samaria to Detroit pi! peline co! nsists of approximately 44 miles of 16-inch pipeline that delivers crude oil from Samaria, Michigan to MPC�� Detroit, Michigan refinery. This pipeline includes a tank farm and crude oil truck offloading facility located at Samaria.

The Company�� Romulus to Detroit pipeline consists of approximately 17 miles of 16-inch pipeline extending from Romulus, Michigan to MPC�� Detroit, Michigan refinery. Its Wood River to Patoka crude system is consisted of two pipelines: Wood River to Patoka and Roxanna to Patoka. Its Wood River to Patoka pipeline consists of approximately 57 miles of 22-inch pipeline, which delivers crude oil received in Wood River, Illinois from the third-party Platte and Ozark pipeline systems to Patoka, Illinois.

The Company�� Roxanna to Patoka pipeline consists of approximately 58 miles of 12-inch pipeline, which transports crude oil received in Roxanna, Illinois from the Ozark pipeline system to its tank farm in Patoka, Illinois.

Product Pipeline Systems

The Company�� product pipeline systems are positioned to transport products from five of MPC�� refineries to MPC�� marketing operations, as well as those of third parties. These pipeline systems also supply feedstocks to MPC�� Midwest refineries. These product pipeline systems are integrated with MPC�� expansive network of refined product marketing terminals, which support MPC�� integrated midstream business.

The Company�� Gulf Coast product pipeline systems include Garyville products system and Texas City products system. The Company�� Garyville products system is consisted of approximately 70 miles of 20-inch pipeline, which delivers refined products from MPC�� Garyville, Louisiana refinery to either the Plantation Pipeline in Baton Rouge, Louisiana or the MPC Zachary breakout tank farm in Zachary, Louisiana, and approximately two miles of 36-inch pipeline that delivers refined products from the MPC tank farm to Colonial Pipeline in Zachary.

The Company�� Texas City products system is comprised of approximately 39 miles of 16-inch pipeline that delivers refined products from refineries owned by MPC, BP and Valero in Texas City, Texas to MPC�� Pasadena breakout tank farm and third-party terminals in Pasadena, Texas. The system also includes approximately three miles of 30- and 36-inch pipeline that delivers refined products from MPC�� Pasadena breakout tank farm to the third-party TEPPCO and Centennial pipeline systems.

The Company�� Midwest product pipeline systems include Ohio River Pipe Line (ORPL) products system, Robinson products system and Louisville Airport products system. The Company�� ORPL products system is consisted of Kenova to Columbus, Canton to East Sparta, East Sparta to Heath, East Sparta to Midland, Heath to Dayton, and Heath to Findlay.

The Company�� Kenova to Columbus pipeline consists of approximately 150 miles of 14-inch pipeline that delivers refined products from MPC�� Catlettsburg refinery to MPC�� Columbus, Ohio area terminals. Its Canton to East Sparta pipeline consists of two parallel pipelines, which connect MPC�� Canton, Ohio refinery with its East Sparta, Ohio breakout tankage and station. The first pipeline consists of approximately 8.5 miles of six-inch pipeline that delivers products (distillates) from Canton to East Sparta. The second pipeline consists of approximately 8.5 miles of six-inch bi-directional pipeline, which can deliver products (gasoline) from Canton to East Sparta or light petroleum-based feedstocks from East Sparta to Canton.

The Company�� East Sparta to Heath pipeline consists of approximately 81 miles of eight-inch pipeline that delivers products from its East Sparta, Ohio breakout tankage and station to MPC�� terminal in Heath, Ohio. The Company�� East Sparta to Midland pipeline consists of approximately 62 miles of eight-inch bi-directional pipeline, which can deliver products and light petroleum-based feedstocks betwe! en its br! eak-out tankage and station in East Sparta, Ohio and MPC�� terminal in Midland, Pennsylvania. MPC�� Midland terminal has a marketing load rack and is able to connect to other Pittsburgh, Pennsylvania-area terminals through a pipeline owned by Buckeye Pipe Line Company, L.P. and a river loading/unloading dock for products and petroleum feedstocks. This pipeline can also transport products to MPC�� terminals in Steubenville and Youngstown, Ohio through a connection at West Point, Ohio with a pipeline owned by MPC.

The Company�� Heath to Dayton pipeline consists of approximately 108 miles of six-inch pipeline, which delivers products from MPC�� terminals in Heath, Ohio and Columbus, Ohio to terminals owned by CITGO and Sunoco Logistics Partners, L.P. in Dayton, Ohio. This pipeline is bi-directional between Heath and Columbus for product deliveries. Its Heath to Findlay consists of approximately 100 miles of eight- and 10-inch pipeline, which delivers products from MPC�� terminal in Heath, Ohio to MPC�� pipeline break-out tankage and terminal in Findlay, Ohio. Robinson products system is consisted of Robinson to Lima, Robinson to Louisville, Robinson to Mt. Vernon, Wood River to Clermont, Dieterich to Martinsville and Wabash Pipeline System.

The Company�� Robinson to Lima pipeline consists of approximately 250 miles of 10-inch pipeline, which delivers products from MPC�� Robinson, Illinois refinery to MPC terminals in Indianapolis, Indiana, as well as to MPC terminals in Muncie, Indiana and Lima, Ohio. Its Robinson to Louisville pipeline consists of approximately 129 miles of 16-inch pipeline, which delivers products from MPC�� Robinson, Illinois refinery to two MPC and multiple third-party terminals in Louisville, Kentucky. In addition, these products can supply MPC and Valero terminals in Lexington, Kentucky through the Louisville to Lexington pipeline system owned by MPC and Valero.

The Company�� Robinson to Mt. Vernon pipeline consists of ap! proximate! ly 79 miles of 10-inch pipeline that delivers products from MPC�� Robinson, Illinois refinery to a MPC terminal located on the Ohio River in Mt. Vernon, Indiana. It leases this pipeline from a third party under a long-term lease. The Company�� Wood River to Clermont pipeline consists of approximately 153 miles of 10-inch pipeline extending from MPC�� terminal in Wood River, Illinois to Martinsville, Illinois, and approximately 156 miles of 10-inch pipeline extending from Martinsville, Illinois to Clermont, Indiana. This pipeline also includes approximately 9.5 miles of pipelines utilized for the local movement of products in and around Wood River, Illinois, and Clermont, Indiana.

The Company�� Dieterich to Martinsville pipeline consists of approximately 40 miles of 10-inch pipeline, which delivers products from the termination point of Centennial Pipeline to Martinsville, Illinois. From Martinsville, these products (including refinery feedstocks) can be distributed to MPC�� Robinson, Illinois refinery or to other destinations through our other pipeline systems. Its Wabash Pipeline System consists of three interconnected pipeline pipelines: approximately 130 miles of 12-inch pipeline extending from MPC�� terminal in Wood River, Illinois to Champaign, Illinois (the West leg); approximately 86 miles of 12-inch pipeline extending from MPC�� Robinson, Illinois refinery to Champaign (the East leg), and approximately 140 miles of 12- and 16-inch pipeline extending from the junction with the East and West legs in Champaign to MPC�� terminals in Griffith, Indiana and Hammond, Indiana. This pipeline system delivers products to MPC�� tanks at Martinsville, Champaign, Griffith and Hammond. This pipeline system also delivers products to tanks owned by Meier Oil Company at Ashkum, Illinois. The Wabash Pipeline System connects to other pipeline systems in the Chicago area through a portion of the system located beyond MPC�� Griffith terminal. The Company�� Louisville airport product! s system ! consists of approximately 14 miles of eight- and six-inch pipeline, which delivers jet fuel from MPC�� Louisville, Kentucky refined product terminals to customers at the Louisville International Airport.

Other Major Midstream Assets

The Company�� butane cavern is located in Neal, West Virginia, across the Big Sandy River from MPC�� Catlettsburg, Kentucky refinery. This storage cavern has approximately 1.0 million barrels of storage capacity and is connected to MPC�� Catlettsburg refinery. Rail access to the storage cavern is also available through connections with the refinery.

The Company�� barge dock is located on the Mississippi River in Wood River, Illinois and is used both for crude oil barge loading and products barge unloading. The barge dock is connected to its Wood River tank farm by approximately two miles of 14-inch pipeline, which transfers crude oil from the tank farm to the dock, and two 10-inch pipelines, which are each approximately two miles long and transfer products and feedstocks from the dock to the tank farm. This dock generates revenue through a FERC tariff, which is collected for the transfer and loading/unloading of crude oil and products. It also owns tank farms located in Patoka, Martinsville and Wood River, Illinois and Lebanon, Indiana, which it uses for storing both crude oil and products. These storage assets are integral to the operation of its pipeline systems in those areas.

It provides services in the midstream sector of the natural gas industry. Southwest Segment

The Company owns a system in East Texas that consists of natural gas gathering pipelines, centralized compressor stations, a natural gas processing facility and an NGL pipeline. Producing formations in Panola County consist of the Cotton Valley, Pettit, Travis Peak and Haynesville formations. During the year ended December 31, 2011, approximately 77% of its natural gas volumes in the East Texas System result from contracts with six producers. The Company sells substantially all of the purchased and retained NGLs produced at its East Texas processing facility to Targa Resources Partners, L.P. (Targa) under a long-term contract. Such sales represent approximately 19.4% of its consolidated revenue in 2011.

The Company owns a natural gas gathering system in the Woodford Shale play in the Arkoma Basin of southeast Oklahoma. The liquids-rich natural gas gathered in the Woodford system is processed through Centrahoma Processing LLC (Centrahoma), its equity investment, or other third-party processors. In addition, it owns the Foss Lake! natural gas gathering system and the Western Oklahoma natural gas processing complex, all located in Roger Mills, Beckham, Custer and Ellis Counties of western Oklahoma. The gathering portion consists of a pipeline system that is connected to natural gas wells and associated compression facilities. The Company also owns a gathering system in the Granite Wash formation in Wheeler County in the Texas panhandle that is connected to its Western Oklahoma processing complex. The Company completed the expansion of the Western Oklahoma natural gas processing plant in October 2011.

Approximately 70% of its Oklahoma volumes result from contracts with three producers in 2011. The Company sells substantially all of the NGLs produced in the Western Oklahoma processing complex to ONEOK Hydrocarbon L.P. (ONEOK) under a long-term contract. Such sales represent approximately 13.2% of its consolidated revenue in 2011. The Company owns a number of natural gas gathering systems located in Texas, Louisiana, Mississippi and New Mexico, including the Appleby gathering system in Nacogdoches County, Texas. Northeast Segment

    Moving Marcellus gas
    In Summit's second deal it is purchasing the Mountaineer Midstream gas-gathering system in the Marcellus from MarkWest (NYSE: MWE  ) �for�$210 million.�The newly constructed 40-mile system leads into MarkWest's Sherwood Processing Complex which is currently being expanded from 400 million cubic feet per day to 800 million cubic feet per day of processing capacity. The system Summit is acquiring is secured by a long-term, fee-based contract with Antero Resources. Again, the company is picking up an asset that has secured revenue while providing MarkWest with capital so it can grow its processing capacity.

    MarkWest Energy� (NYSE: MWE  ) �has taken this as a challenge and will soon be the top infrastructure provider in the region. During the year it plans on bringing a 100,000 barrel per day fractionation facility on line with truck, rail, and pipeline access. This facility will also have access to fractionation facilities in the Marcellus Shale. This addition broadens a portfolio that already houses multiple facilities capable of refrigeration, cryogenic processing, and fractionation. As you can see from the following slide, the company has a number of projects under construction to meet the growing needs of producers in the region. �

    After the bell on Tuesday, Markwest Energy Partners LP (MWE) announced its third quarter earnings, with revenue rising substantially from last year’s third quarter.

    MWE Earnings in Brief

    -Markwest’s revenue for the quarter came in at $420.5 million, a huge gain from last year’s same quarter revenue of $280.6 million. This was still not enough to top analysts’ revenue estimates of $458.22 million
    -Even with much higher revenue, MWE still posted a loss for the quarter of $20.03 million, which was more than last year’s loss of $15.27 million.
    -The company posted an EPS loss of 17 cents, which was larger than last year’s Q3 loss of 13 cents, and far below the analysts’ estimate of 24 cents EPS profit.

    Frank Semple, Markwest’s chairman, president and CEO, had the following comments about the quarterly results: ��ur results reflect the continued success of our producers��as they rapidly develop their acreage positions in high-quality unconventional resource plays, as well as several short-term operational constraints that we have recently experienced in the Northeast.     Dividend

    Markwest made no mention of a dividend change in its earnings report, which was not a surprise, as the company just raised its quarterly dividend by 1 cent at the end of October. The quarterly dividend of 85 cents went ex-dividend on November 5 and will be paid this Thursday. Markwest has raised its dividend every quarter for the past three years.

Vanguard Natural Resources, LLC, through its subsidiaries, engages in the acquisition and development of oil and natural gas properties in the United States. Its properties are located in the southern portion of the Appalachian Basin, primarily in southeast Kentucky and northeast Tennessee; the Permian Basin, primarily in west Texas and southeastern New Mexico; and south Texas.     Among its peers in the MLP and LLC space, LINN by far hedges the most production. BreitBurn Energy Partners (NASDAQ: BBEP  ) , for example, has hedged roughly 75% of its production through 2015, whereas LINN is 100% hedged through 2016. BreitBurn almost exclusively uses swaps as its hedge of choice. It's a similar story at Vanguard Natural Resources (NASDAQ: VNR  ) , which also uses swaps to almost exclusively hedge natural gas while using three-way collars to hedge about a third of its oil production. While LINN could get more creative, one thing I'd be surprised to hear is that it's going to join these two peers and leave some of its production unhedged.

Vanguard Natural Resources (NASDAQ: VNR  ) for example reviews about 150 acquisition candidates each year and whittles that down to about 50 that are evaluated more deeply. LONDON -- The markets have been flying high so far in 2013 -- even after their losses of the past couple of days. While some think this bull market has just about run its course, these three stocks suggest that the charge is far from over.

Old Mutual (LSE: OML  )
Fund management firms such as Old Mutual thrive in bull markets. This does not seem to have been reflected in the Old Mutual share price. With the FTSE 100 ahead by 11% this year, Old Mutual is up "just" 19.9%. By comparison, Schroders is up 45.3%, and Aberdeen Asset Management is 29.4% ahead.

Today, Old Mutual shares are available at 11.1 times forecast earnings per share for 2013. It is worth noting that a big increase in profit is needed to deliver this. Even then, Old Mutual is still expected to make less than it did in 2007. With the FTSE 100 trading around 10-year highs, there remains little real excitement in Old Mutual's rating.

RSA Insurance Group (LSE: RSA  )
RSA Insurance Group has disappointed shareholders in 2013. Not only did the company announce a dividend cut with its final results in February, but the shares have also failed to join in the recent broader rally. In the last month, shares in RSA are up 2.4%. The FTSE 100 is 4.1% ahead in that time.

    However, I expect that Intel is at risk of having a significant marketing problem trying to sell a dual core product into a world of quad core phones, even if the dual core part delivers better performance/watt. I further expect that from what is currently known about Bay Trail's GPU (4 EU Gen7 GPU), it is unlikely that -- unless Intel is either using Imagination's (IGNMF.PK) next generation PowerVR 6 or a beefed up Gen7 design for the "Merrifield" SoC -- it will be as competitive with the Snapdragon 800 on the GPU side of things, which could pose as an additional headwind to adoption. I also believe that the Q1 2014 launch curtails any hope that there will be a 14nm smartphone product launched in 2014 (although Mr. Krzanich's comments about "acceleration" could be a source of optimism here), which means that the company's process lead could ultimately prove to be ephemeral in this particular end market. Fortunately, product cycles in this space are short, so it may be okay to have Merrifield be reasonably short lived.

We went over the most recognizable members of this year's rookie class in "The 5 Most Unfortgettable IPOs of 2013." But in a big pool of 156 companies, there are bound to be at least a few struggling fish. Here, then, is a selection of five from the class of 2013 that are getting seriously lapped by their peers. 1. Prosensa (RNA) This Dutch clinical-stage biopharmaceutical firm had a strong debut when it listed on the Nasdaq in late June. The stock's offer price of $13 zoomed to close at over $19 on the first day of trading. But bad news was waiting around the corner; less than three months later, the shares tanked by more than 70 percent after the company announced that the muscular dystrophy treatment (drisapersen) it was developing in partnership with GlaxoSmithKline (GLAXF), did not hit its primary endpoint in late-stage trials. That one-day free fall saw the stock swoon from $24 per share to barely over $7. Since then, shares have slipped even further, and can currently be had for less than $5. 2. Violin Memory (VMEM) As a provider of high-speed data storage solutions, this company should be well in tune with current IT needs. But it fell flat from the beginning -- on its first day of trading the stock closed slightly over $7 a share, after pricing at $9. Worse was to come when the firm reported its first quarterly results as a publicly traded entity. While revenue advanced nearly 40 percent on a year-over-year basis, that couldn't cover the gaping hole of a bottom line loss totaling $34 million (a figure, by the way, significantly higher than the top line number of $28 million).     Violin Memory (NASDAQ: VMEM) dove following its third quarter results and guidance that was released last night. The company reported a third quarter EPS loss of $0.63 while the Street was looking for a loss of $0.47. Revenue of $28.3 million fell short of the Street's expectation of $31.7 million. Shares were downgraded by J.P. Morgan, (NYSE: JPM) Deutsche Bank (NYSE: DB) and Pacific Crest. Shares lost 48.33 percent, closing at $3.10.

    From a technical perspective, ELX bounced modestly higher here right above some near-term support at $7.95 with decent upside volume. This stock has been trending sideways inside of a consolidation chart pattern over the last month, with shares moving between 7.50 on the downside and $8.46 on the upside. This modest spike is now starting to push shares of ELX within range of triggering a near-term breakout trade above the upper-end of its recent sideways trading chart pattern. That trade will hit if ELX manages to take out some near-term overhead resistance levels at $8.34 to $8.46 with high volume.

    Traders should now look for long-biased trades in ELX as long as it's trending above some key near-term support levels at $7.95 or $7.50 and then once it sustains a move or close above those breakout levels with volume that hits near or above 786,981 shares. If that breakout hits soon, then ELX will set up to re-test or possibly take out its 52-week high at $8.99. Any high-volume move above $8.99 will then give ELX a chance to tag its next major overhead resistance levels at $10 to $11.19.
